Terms of Service

These terms are an agreement between KeyGlance (“KeyGlance”, “we”) and the accounting firm that creates an account (“the firm”, “you”). By creating an account you accept them on the firm’s behalf and confirm you have the authority to do so. KeyGlance is a professional tool for firms, not a consumer service.

1. What KeyGlance is

KeyGlance reads the client paperwork your firm uploads, extracts the values on it using an AI model, links every value to the page it came from, flags what deserves a second look, and produces a file your tax software imports. An optional helper application can be installed on your firm’s computers to drive your tax software’s own import feature.

2. What KeyGlance is not

KeyGlance does not give tax advice, does not prepare returns, and never files or transmits anything to the Canada Revenue Agency — there is no e-file capability in the product. KeyGlance is data entry, done fast, with its work shown.

3. Your firm reviews the work

AI reading makes mistakes. That is why every value links to its source page, why values below your confidence bar are flagged, and why cards are approved by a person. Your firm and its preparers are solely responsible for reviewing extracted values and for every return your firm files. KeyGlance is an aid to a professional, not a substitute for one.

4. Your clients’ documents

Your firm confirms it has the right, and any consents required, to upload the documents it uploads. The documents and every file KeyGlance produces from them belong to your firm and its clients; we take only the licence needed to process them to provide the service, as described in the Privacy Policy. We never use them to train AI models.

5. Fees

  • KeyGlance is bought in returns, in advance, at the prices quoted at purchase. Your balance is denominated in returns, so a later price change never changes what you already bought.
  • One return is reserved from your balance when reading begins on that return, and is consumed when its import file is generated. A return that is abandoned before an import file exists can be released back to your balance.
  • A failed read does not consume a second return; you retry inside the same one.
  • A one-time trial of three returns is available once a payment method is saved, once per firm.
  • Prices are quoted before you buy; applicable taxes may be added.
  • Payments are processed by Stripe. Returns already consumed are not refundable.

6. Beta features

Features marked beta, and anything provided free during a beta period, are offered as-is and may change or end. We will not silently convert free use into paid use.

7. Accounts

Keep your credentials secure and your account information accurate. Your firm controls who is in its team and what role they hold, and is responsible for what its members do in the product. Tell us at once if you believe an account is compromised.

8. The helper application

The helper is licensed to install on your firm’s computers for use with KeyGlance. It does one thing: drives your tax software’s own import feature, with verification before it touches a return and a full record of what it did. Do not reverse engineer or redistribute it. It updates itself as the product improves.

9. Availability

We work to keep KeyGlance available through the season and to fix what breaks quickly, but we do not promise uninterrupted service. Maintenance happens; so does tax season load.

10. Intellectual property

The software is ours; your data is yours. If you send us suggestions or feedback, we may use them without obligation.

11. Ending the agreement

Your firm can stop using KeyGlance and close its account at any time; export what you need first. We can suspend or close an account for breach of these terms, non-payment, or use that threatens the service or other firms — with notice, except where the threat makes notice impractical. After closure, data is handled as the Privacy Policy describes.

12. Disclaimers and liability

Except as expressly stated in these terms, KeyGlance is provided without warranties of any kind. We do not warrant that extracted values are free of errors — review is part of the product, and section 3 governs. We are not liable for the consequences of a filed return, including penalties or interest, where the extracted values were not reviewed as the product is designed for.

To the extent the law allows: neither party is liable to the other for indirect or consequential damages, and our total aggregate liability under this agreement is capped at the fees your firm paid us in the twelve months before the event giving rise to the claim. Nothing here excludes liability that cannot be excluded by law.

13. Indemnity

Your firm will defend and indemnify us against third-party claims arising from documents it had no right to upload or from its breach of these terms.

14. Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, and disputes belong to the courts of British Columbia.

15. Changes to these terms

If these terms change materially, firms are notified in the product or by email before the change takes effect, and continued use after that date is acceptance. The date at the top is the date of the current version.
